1. Acceptance. Acceptance of Buyer’s purchase order is expressly made conditional on Buyer’s assent to the terms and conditions set forth herein which are in lieu of any additional or different terms contained in Buyer’s purchase order or other document or oral statement of Buyer or Seller concerning Buyer’s order or the goods. Buyer consents to these terms and conditions by receipt of this acknowledgement without prompt written objection to it or by acceptance of all or any part of the goods and services ordered.
2. Price and Payment
Without written mutual agreement for payment terms, or credit approval, payment in advance is required.
3. Delivery Shipment is F.O.B. Alsip, Illinois. The time specified for delivery is a desired and not a promised date. In no event shall Seller be liable for loss, damages, or additional costs of transportation, unloading and storage.
4. Warranty Seller does not warrant the goods independent of the manufacturer’s warranty.
5. Limitation of Liability buyer agrees that Seller’s liability whether in contract, in tort, under any warranty, in negligence or otherwise, shall not exceed and buyer’s remedy or damages shall be limited to, the return of the amount of the purchase price paid. Under no circumstances shall seller be liable for consequential or special damages. Buyer acknowledges that Seller is not an insurer and that the price stated for the goods is based upon and in consideration of limiting Seller’s liability. Buyer assumes responsibility for and agrees to hold Seller harmless from all actions, contract or other duty assumed by or the responsibility of Buyer or any third party engaged by Buyer in connection with goods. Buyer agrees to give Seller prompt notice, confirmed in writing within thirty days of discovery, of all actions, claims, losses, accidents, malfunctions, or damages arising out of the sale, installation, operation or failure of the goods. Any cause of action arising out of buyer’s order or concerning the goods, whether in contract, tort, or otherwise, must be filed within twelve months after the date of shipment of the goods as evidenced by Seller’s invoice or lading receipt.
6. Governing Law All questions relating to the validity, interpretation or performance of this contract shall be determined in accordance with the laws of the State of Illinois.
